Banco Santander, S.A. has signed a definitive merger agreement to acquire Webster Financial Corporation in a cash-and-stock transaction valued at about $12.3 billion. Under the terms, Webster shareholders will receive $48.75 in cash and 2.0548 Santander American Depository Shares for each Webster share, with the deal expected to close in the second half of 2026.
